William R. Foley is one of the firm’s shareholders.  Mr. Foley has been with the firm since 1969.  Mr. Foley concentrates his practice on business law, commercial real property law, estate planning, as well as trust and probate estate administration.

Business Law:

Mr. Foley regularly advises business clients in all aspects of business and corporate law, including entity selection and formation, acquisitions, sales, and contractual negotiation, drafting and review. 

Commercial Real Property:

Mr. Foley regularly advises clients in their capacities as landlords, tenants, purchasers, or sellers of commercial real property, in connection with the contractual negotiation and drafting of purchase agreements, leases, and land use or restriction documentation.  Examination of title reports and underlying title exception documents is a recurring part of Mr. Foley’s practice in this area.

Estate Planning and Administration:

Mr. Foley regularly advises clients in the creation of estate plans, including preparation of revocable living trusts, pour-over wills, durable powers of attorney, advance health care directives, community property declarations, and other documentation necessary to complete an effective estate plan, with the objective of passing wealth on to the next generation in a manner that minimizes the payment of unnecessary administration costs and death taxes.

General and Educational Background:

Mr. Foley received his Juris Doctor degree from the University of San Francisco, where he was a member of the McAuliffe Honor Society, as well as the Assistant Editor and Managing Editor of the University of San Francisco Law Review.  Mr. Foley received his Bachelor of Science degree from the University of San Francisco, College of Finance.

Mr. Foley is admitted to practice in California.

Mr. Foley’s non-professional interests include fly fishing, horseback riding, cattle ranching, and golf. - BACK


James D. Claytor

James D. Claytor is one of the firm’s shareholders.  Mr. Claytor has been with the firm since 1980.  Mr. Claytor focuses his practice on litigation. 

Mr. Claytor has significant experience in numerous areas of civil litigation, including but not limited to the following:

  • Commercial litigation, with a strong emphasis on defending business clients against unfair competition claims (including complaints under California Business & Professions Code Section 17200 et seq.).
  • Employment litigation, including defending business clients against a wide variety of discrimination claims.
  • Trust and probate litigation, including representing both trustees and beneficiaries in breach of fiduciary duty claims.
  • Intellectual property litigation, including assisting business clients with prosecuting those who seek to infringe on such clients’ trademarks, tradenames, domain names, and copyrighted material. 
  • Products liability litigation.
  • Construction defect litigation. 
  • Material contract litigation. 
  • Environmental litigation.
  • Real estate litigation.
  • Earth movement litigation. 

In addition to Mr. Claytor’s law practice, Mr. Claytor has served as a Judge Pro Tempore in Alameda County Superior Court.  Mr. Claytor has also served as an adjunct professor of civil procedure at John F. Kennedy School of Law.

Since 1990, Mr. Claytor has also served as a mediator for the Contra Costa County Superior Court, and as a panel mediator for the First District Court of Appeal in San Francisco since 1999.  Mr. Claytor has completed extensive mediation courses offered by Stanford University School of Law.  Mr. Claytor has also acted as a private mediator in a variety of disputes. 

Prior to joining the firm, Mr. Claytor served as Deputy Attorney General with the California State Department of Justice from 1972-1979.  During that time, Mr. Claytor represented the State of California in a variety of civil matters, including health, education and welfare litigation.

Mr. Claytor received his Juris Doctor degree from Stanford University School of Law.  Mr. Claytor received his Bachelor of Arts degree from Claremont McKenna College, cum laude, in Political Science. 

Mr. Claytor is admitted to practice in California.  In addition, Mr. Claytor is admitted to practice in all of the Federal District Courts in California, the Federal Ninth Circuit Court of Appeals, the United States Court of Appeals for the Federal Circuit, and the United States Court of Federal Claims. 

Mr. Claytor’s non-professional interests range from coaching youth athletic teams (basketball, baseball, soccer, etc.) to snow skiing, hiking, golf, and weightlifting. - BACK

David L. Frey

David L. Frey is one of the firm’s shareholders.  Mr. Frey joined the firm in 1985. 

Mr. Frey’s practice focuses on business/corporate transactions, real estate transactions, taxation, estate planning, as well as trust and probate administration.

Mr. Frey earned his Juris Doctor degree from the University of California at Davis, where he was the recipient of the American Jurisprudence Award in Estate and Gift Tax.  Mr. Frey also earned his LLM degree in taxation, with honors, from Golden Gate University.  Mr. Frey earned his Bachelor of Arts degree from the University of California at Berkeley. - BACK


D. Christian Claytor

Christian Claytor is one of the firm’s shareholders.  Mr. Claytor concentrates his practice on business/corporate law, commercial real estate law, estate planning and probate, and employment law.  In addition to his law practice at the firm, Mr. Claytor is also responsible for managing the firm’s day to day business activities. 

Business/Corporate Law:

Mr. Claytor advises small to medium sized businesses in all aspects of business/corporate law, including entity selection/formation, acquisitions, sales, reorganizations, financings, corporate governance, as well as material contract preparation, review, and negotiation.

Commercial Real Estate Law:

Mr. Claytor regularly advises both landlords and tenants in commercial leasing transactions.  Mr. Claytor has also counseled clients in numerous commercial real estate sales and acquisitions. 

Estate Planning and Probate:

Mr. Claytor regularly counsels individuals on all aspects of estate planning, with particular focus on the preparation of living trusts.  Mr. Claytor also has represented numerous estate personal representatives through the California probate process.

Employment Law:

In connection with Mr. Claytor’s business/corporate law practice, Mr. Claytor also counsels businesses on all aspects of employment law, with a particular emphasis on structuring policies and procedures which are aimed at reducing businesses’ potential exposure to employee claims. 

General and Educational Background:

Prior to joining the firm, Mr. Claytor practiced law at Orrick, Herington & Sutcliffe LLP in both its San Francisco and Silicon Valley offices.  While at Orrick, Mr. Claytor was a member of the firm’s corporate and securities group, and focused on mergers and acquisitions, securities offerings, financings, and general corporate governance.

Mr. Claytor received his Juris Doctorate degree, magna cum laude, from the University of San Francisco School of Law, where he was a member of the McAuliffe Honor Society.  Mr. Claytor also served as a Judicial Extern for the Honorable Associate Justice Ming W. Chin of the Supreme Court of California, and was a summer associate for the San Francisco office of Sheppard Mullin Richter & Hampton LLP. 

Mr. Claytor received his Bachelor of Arts degree in Political Science from the University of California at Berkeley.  While at U.C. Berkeley, Mr. Claytor was a member of the Men’s Swimming and Diving Team.  Mr. Claytor’s athletic/academic achievements included serving as the Team Captain, being named National Collegiate Athletic Association First Team Academic All-American for three (3) years, being named Pacific Ten Conference First Team Academic All-American for three (3) years, and participating in the 1996 United States Olympic Swimming Trials.

Mr. Claytor is admitted to practice law in the State of California.

In addition to his law practice, Mr. Claytor also serves as both a director and officer of Splash Swim School, Inc., a business which offers learn to swim lessons in San Ramon, California.

Thomas J. McIntosh

Thomas J. McIntosh has been associated with the firm since 1967, as an employee, a shareholder, and currently, in an Of Counsel capacity.

Mr. McIntosh concentrates his practice on business/corporate law, trust administration, estate planning, probate, as well as tax planning and tax administration

Business/Corporate Law:

Mr. McIntosh advises individuals and businesses in all aspects of business corporate law, including entity selection/formation, acquisitions, sales and reorganizations, as well as taxation.

Estate Planning and Probate Law:

Mr. McIntosh regularly counsels individuals on all aspects of estate planning, with particular focus on the preparation of wills, living trusts, durable powers of attorney, and advance health directives.  Mr. McIntosh also advises on trust administration and probate matters.

General and Educational Background:

Upon completion of his duties in the United States Army, Mr. McIntosh attended Chico State College.  Mr. McIntosh received his Juris Doctor degree from the University of California at Hastings. 

Prior to joining the firm, Mr. McIntosh worked at Lybrand, Ross Bros., and Montgomery, Certified Public Accountants, an international accounting firm, now PricewaterhouseCoopers.  Mr. McIntosh worked on the audit staff, tax staff, and eventually served as a tax manager.  Mr. McIntosh is also a Certified Public Accountant. 

In addition to his law practice, Mr. McIntosh has served as a Judge Pro Tempore for the Berkeley-Albany Municipal Court.  Mr. McIntosh also serves as both a director and officer of several tax-exempt foundations, and is active in the Boy Scouts of America as a troop leader.  In this regard, he is a holder of the Silver Beaver Award, the highest award conferred by a Boy Scout Council upon an adult for service to community and youth.  Mr. McIntosh is also a holder of the National God & Youth Award, an award conferred upon adults by the National Association of Presbyterian Scouters, in conjunction with the National Council of the Boy Scouts of America, for service to church, community, and youth. 

Mr. McIntosh’s non-professional interests include gardening, scouting, backpacking, canoeing, and cycling. - BACK
